Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ethos Agentics website, software, browser extensions, applications, and related services (collectively, the “Service”).
Ethos Agentics (“Ethos Agentics,” “we,” “us,” or “our”) provides AI-safety tools designed to support safer, more transparent use of AI systems.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must immediately discontinue use.
1. Eligibility
You may use the Service only if you:
are at least 18 years old,
have the authority to enter into a binding agreement, and
comply with these Terms and all applicable laws.
Description of the Service
Ethos Agentics provides:
2.1 Software
Including but not limited to:
EthosGuard™ LITE (Chrome extension)
Future AI-safety tools
Web-based dashboards
Reporting modules
Features may evolve over time.
2.2 Optional Training & Educational Services
From time to time, we may offer:
Workshops
Courses
Webinars
Instructional content
The VIBE Formula™ or similar training
These services may be free, paid, live, or self-paced.
2.3 Optional Professional Services
For business customers (including future Enterprise users), we may provide:
Implementation assistance
Advisory services
AI-safety reviews
Workflow design
These services are governed by separate written agreements when applicable.
Nothing in these Terms obligates Ethos Agentics to provide training or consulting unless expressly agreed in writing.
3. Creating an Account
When you create an account, you must provide accurate, current information. You are responsible for:
maintaining the confidentiality of your login credentials,
all activity occurring under your account, and
promptly notifying us of any unauthorized access.
We may suspend or terminate accounts that violate these Terms.
4. Organization & Administrator Accounts
If an account is created on behalf of an organization:
The organization is the account owner.
Administrators designated by the organization may manage users and settings.
The organization is responsible for all activities under its account.
If administrative control is lost, we may—at our discretion—restore access to an authorized representative upon verification.
5. User Content and Data Ownership
5.1 Your Content
You retain ownership of content you create, store, or transmit through the Service (“User Content”).
You grant Ethos Agentics a limited, non-exclusive license to:
store, process, transmit, and display your User Content
only as necessary to provide and improve the Service
We do not sell your User Content.
5.2 Responsibility for Content
You are solely responsible for:
ensuring you have rights to the content you upload
not transmitting harmful, unlawful, or infringing material
not exposing private information unintentionally
Ethos Agentics may remove content that violates laws, rights, or these Terms.
6. EthosGuard LITE & AI Processing
6.1 Local Processing
EthosGuard LITE may process certain information locally on your device.
Unless expressly stated, prompt content and sensitive data are not transmitted to Ethos Agentics servers.
6.2 AI Output Disclaimer
You acknowledge that:
AI systems may generate inaccurate or incomplete outputs
AI outputs should be independently evaluated
Ethos Agentics provides tools that assist with safer usage, not guarantees
Ethos Agentics is not responsible for decisions made based on AI-generated output.
7. Prohibited Uses
You agree not to:
use the Service to violate any law
attempt to circumvent security or safety features
use the Service to train competing models
misrepresent your identity
reverse engineer, decompile, or copy the software
use the Service to harm or harass others
use the Service for high-risk government or medical decisions without proper review
8. Support
We provide email-based support between 9:00 AM and 7:00 PM (GMT-5, Mon–Fri, excluding U.S. holidays).
Severity levels and response expectations are described in the Support Policy incorporated by reference.
9. Maintenance & Updates
We may release updates, patches, improvements, or new features. We are not responsible for:
third-party integrations,
custom code,
or modifications made outside our control.
Scheduled maintenance may result in temporary downtime.
10. Security
We employ industry-standard measures, including:
SSL encryption
Secure authentication
Redundant infrastructure
However, no system is 100% secure. You use the Service at your own risk.
11. Billing & Subscriptions
11.1 Free Trial
If offered, free trials automatically convert to paid plans unless canceled before the trial ends.
11.2 Automatic Renewal
All paid subscriptions renew automatically unless canceled.
11.3 No Refunds
Except where required by law, fees are nonrefundable.
11.4 Fee Changes
We may update pricing upon renewal with advance notice.
11.5 Taxes
You are responsible for any applicable taxes.
12. Third-Party Services
If you enable third-party applications:
you authorize us to share necessary data
third-party terms govern their use
we are not responsible for third-party failures, misuse, or data practices
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
ACCURACY OF AI OUTPUTS
We do not guarantee:
uninterrupted access
error-free performance
specific outcomes
safety or legality of third-party content
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: Ethos Agentics’ total liability shall not exceed:
the greater of (a) $100 or (b) the amount you paid in the 6 months preceding the claim.
We are not liable for:
lost profits
lost data
indirect, special, incidental, or consequential damages
reliance on AI-generated outputs
service delays or outages
15. Indemnification
You agree to indemnify Ethos Agentics against claims arising from:
misuse of the Service
violation of the Terms
infringement of third-party rights
unlawful or unsafe use of AI outputs
16. Binding Arbitration
Disputes arising under these Terms will be resolved through binding arbitration in Massachusetts under AAA commercial rules.
No class actions permitted.
Ethos Agentics may seek injunctive relief in court for misuse, infringement, or safety-related violations.
17. Governing Law
These Terms are governed by the laws of the Commonwealth of Massachusetts, USA.
18. Termination
We may suspend or terminate your account for:
violations of these Terms
suspected misuse
security concerns
nonpayment
Upon termination:
your right to use the Service ends immediately
certain sections survive (liability limits, warranty disclaimers, etc.)
19. Changes to These Policy
We may modify these Terms at any time.
Material changes will be announced at least 30 days before becoming effective.
Continued use constitutes acceptance.
